These Terms of Use (“Terms”) govern your access to and use of our website, online forms, email communications, and filing assistance services (collectively, the “Services”). GrowBiz Filing Services is a U.S.-based independent filing assistance company that provides document preparation and filing support services for business compliance matters, including state annual report filings. GrowBiz is not a law firm and does not provide legal advice. GrowBiz is not a CPA firm and does not provide tax, accounting, or financial advice.
GrowBiz does not act as a fiduciary, trustee, or advisor. Use of our Services does not create any fiduciary relationship.

GrowBiz strongly encourages clients to submit filing requests well in advance of applicable state deadlines. To ensure adequate preparation and submission time, the following policies apply:
Clients are expected to submit complete and accurate information no later than five (5) business days prior to the applicable state filing deadline. Requests submitted fewer than five (5) business days before a deadline may be considered expedited and are subject to availability and additional service fees.
GrowBiz may decline any new filing requests submitted within three (3) business days of a state filing deadline at its sole discretion. For requests accepted within this window:
Requests received on the actual deadline date are handled strictly on a best-efforts basis and may be declined. GrowBiz does not guarantee same-day processing.

All service fees must be paid in full before GrowBiz begins processing any filing or service request. No work will commence until payment has been successfully received and confirmed by our system.
All government, state, or agency filing fees are strictly non-refundable. Once such fees have been submitted to the applicable authority, they cannot be recovered or returned, regardless of the outcome of the filing, unless the government agency itself issues a refund. GrowBiz will not proactively seek or pursue refunds from any government agency on your behalf.
ONCE GROWBIZ HAS SUBMITTED YOUR FILING DOCUMENTS TO THE APPLICABLE GOVERNMENT AGENCY, ALL SERVICE FEES SHALL BE CONSIDERED FULLY EARNED AND ARE NON-REFUNDABLE, REGARDLESS OF WHETHER THE FILING IS ULTIMATELY ACCEPTED, REJECTED, OR FLAGGED FOR CORRECTION BY THE STATE. If GrowBiz declines a filing request before submission to the government, GrowBiz may, at its sole discretion, issue a partial or full refund of service fees.
Unless otherwise expressly stated in writing, all purchases are final after thirty (30) days from the date of payment. GrowBiz will not issue refunds, credits, or adjustments for any charges more than thirty (30) days old, except:
GrowBiz reserves the right to issue refunds, partial refunds, or service credits at its sole discretion. A refund or credit issued in one instance does not create an obligation to provide the same or similar refund in the future, nor does it establish a legal precedent.
You acknowledge that refund eligibility is subject to the status of taxes, filing fees, or other governmental charges already paid or remitted by GrowBiz on your behalf. If such charges have already been paid to the applicable authority, they are non-refundable unless the government authority issues a refund directly. GrowBiz is not responsible for recovering previously remitted government payments.

WHILE GROWBIZ EMPLOYS INDUSTRY-STANDARD SECURITY MEASURES, NO DATA TRANSMISSION OR STORAGE SYSTEM CAN BE GUARANTEED TO BE 100% SECURE. GROWBIZ SHALL NOT BE HELD LIABLE FOR ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, HACKING, TAMPERING, SYSTEM INTRUSION, OR DATA BREACHES BEYOND OUR REASONABLE CONTROL, PROVIDED THAT WE MAINTAIN REASONABLE SECURITY PRACTICES. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY AND SECURITY OF YOUR ACCOUNT AND LOGIN CREDENTIALS.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE. GROWBIZ DISCLAIMS LIABILITY FOR ANY DAMAGES RESULTING FROM INTERRUPTIONS, DELAYS, ERRORS, OR INABILITY TO ACCESS SERVICES CAUSED BY THIRD-PARTY SERVICE DISRUPTIONS, NETWORK FAILURES, OR OTHER FACTORS BEYOND OUR CONTROL.
BECAUSE GROWBIZ PROVIDES FILING AND ADMINISTRATIVE SUPPORT SERVICES AND DOES NOT CONTROL GOVERNMENT AGENCIES OR REGULATORY DECISIONS, WE ARE NOT LIABLE FOR THE OUTCOMES, DELAYS, REJECTIONS, PENALTIES, OR OTHER ACTIONS TAKEN BY ANY GOVERNMENTAL ENTITY.
To the fullest extent permitted by applicable law, GrowBiz will not be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the Services. This limitation applies regardless of the legal theory asserted (including contract, tort, negligence, or strict liability) and even if GrowBiz has been advised of the possibility of such damages. Such excluded damages include, without limitation:
Commercial Losses: Loss of profits, revenue, business opportunities, or reputational harm;
Data and Security Incidents: Financial loss or loss of data resulting from unauthorized account access, hacking, or data breaches;
Governmental Actions: Fines, penalties, delays, or rejections imposed by government authorities or regulatory agencies;
Service Interruptions: Damages resulting from system interruptions, errors, or inability to access the Services.
GROWBIZ’S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO OUR SERVICES SHALL NOT EXCEED THE TOTAL SERVICE FEES PAID BY YOU TO GROWBIZ DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. GOVERNMENT FEES ARE EXCLUDED FROM THIS AMOUNT. Any claim arising from or relating to the services must be brought within one (1) year from the date the cause of action arose, or such claim is permanently barred.
PLEASE READ CAREFULLY: THIS SECTION REQUIRES YOU TO REIMBURSE GROWBIZ FOR LOSSES CAUSED BY YOUR FRAUDULENT FILINGS OR UNAUTHORIZED ACTIONS. You agree to indemnify, defend, and hold harmless GrowBiz, its officers, directors, and employees from and against any and all claims, liabilities, damages, fines, penalties, losses, or expenses (including reasonable attorney fees and court costs) arising out of or related to:
False Information: Your provision of false, misleading, incomplete, or fraudulent information during the use of our Services;
Identity Misuse: Your unauthorized use of any third party’s identity, credentials, or personal information;
Lack of Authorization: Your failure to obtain proper legal authorization or internal corporate approval for any filing submitted through GrowBiz;
Breach of Terms: Any violation by you of these Terms of Service or applicable state and federal laws.
This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of Texas, without giving effect to any choice or conflict of law provision or rule (whether of the State of Texas or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of Texas.
Any legal suit, action, or proceeding arising out of or related to this Agreement or the services provided hereunder shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas, in each case located in the City of Houston and County of Harris. Each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.
EACH PARTY ACKNOWLEDGES AND AGREES THAT ANY CONTROVERSY THAT MAY ARISE UNDER THIS AGREEMENT IS LIKELY TO INVOLVE COMPLICATED AND DIFFICULT ISSUES AND, THEREFORE, EACH SUCH PARTY IRREVOCABLY AND UNCONDITIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LEGAL ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT.
GrowBiz will respond to valid and enforceable legal process (such as subpoenas or court orders) issued by a court of competent jurisdiction. We reserve the right to notify you of such requests unless prohibited by law or a court order. GrowBiz is not obligated to respond to informal requests, private discovery requests, or voluntary solicitations for information that lack a formal legal mandate.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
You and GrowBiz agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with GrowBiz shall be resolved exclusively through binding arbitration, rather than in court. This includes claims that arose before you accepted these Terms.
Notwithstanding Section 18.1, either party may bring an individual claim in small claims court, provided the matter remains on an individual (non-class) basis and stays within the court’s jurisdictional limits.
Arbitration shall be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted before a single neutral arbitrator in Houston, Texas, unless otherwise required by law.
The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
GrowBiz shall not be responsible or liable for any filing errors, missed deadlines, administrative penalties, or failure to perform its obligations under these Terms resulting from events outside of our direct influence and control. Such events include, but are not limited to:
In the event of such a disruption, GrowBiz’s service duties are automatically suspended without penalty or liability to GrowBiz for the duration of the event.
If these uncontrollable circumstances prevent GrowBiz from fulfilling its obligations for more than sixty (60) total days, GrowBiz may terminate the affected Services at its sole discretion. GrowBiz will not be held liable for any direct or indirect consequences, losses, or damages arising from such a termination or the underlying delay.
Upon the expiration or termination of these Terms for any reason, those provisions which by their nature are intended to remain in effect shall survive. Specifically, your obligations and GrowBiz’s protections under the following sections shall continue in full force and effect: Indemnification, Limitation of Liability, Warranty Disclaimers, Dispute Resolution (including Mandatory Arbitration), and Governing Law and Venue. The termination of service shall not release either party from any liability or obligation incurred prior to termination.
You may not transfer, delegate, or assign your rights or obligations under these Terms to any third party without obtaining GrowBiz’s express prior written authorization. Any attempted assignment without such consent shall be deemed null and void. GrowBiz, however, reserves the unrestricted right to assign its rights and obligations under this Agreement to any subsidiary, affiliate, or successor entity in connection with a merger, acquisition, or sale of substantially all of its assets.
GrowBiz prioritizes the confidentiality of your information. However, we will disclose client data to law enforcement or government agencies only when presented with a valid, legally binding, and enforceable subpoena, warrant, or court order issued by a court of appropriate jurisdiction. GrowBiz is under no obligation to acknowledge or respond to informal inquiries, private discovery requests, or voluntary solicitations for information that lack a formal legal mandate.
